Terms and Conditions of Sale

Mythos Group and the Client shall be bound by these Terms in relation to any Orders, Sales, or Supply Arrangements placed with or funded through Mythos Group by the Client. The Customer agrees to be bound by these Terms in full by placing an Order or making payment for any Order.



Definitions: 

Client: means any individual or organisation placing an order with Mythos Group.

Mythos Group: means Mythos Group Inc., the company supplying custom stress balls, promotional products, and related items, referred to in these Terms as “Mythos Group.”

Order: means any confirmed request for products or services, activated upon invoice payment or written acceptance of a Purchase Order.

Agreement: refers to these Terms and Conditions and any Order Confirmation sent by Mythos Group.



Scope and Changes to These Terms

  • These Terms apply to all quotes, orders, and deliveries unless expressly varied in writing by Mythos Group.
  • Any conflicting terms presented by the Client shall have no effect unless agreed to in writing by Mythos Group.
  • If any provision of these Terms is found to be unenforceable, that provision shall be severed, and the remainder shall remain in full force.
  • Either party may terminate the Agreement by giving 30 days’ written notice; any outstanding fees shall remain payable. Mythos Group may terminate these Terms immediately if the Client breaches them.
  • The Client represents and warrants that it is entering this Agreement for business, commercial, resale, or promotional purposes and not as a consumer, such that the Business Practices and Consumer Protection Act (British Columbia) does not apply to this Agreement.


Quotes

  • Quotes are provided without charge or obligation unless the quote states otherwise.
  • Production will not begin until the Client has accepted the quote. If costs change unavoidably during production, Mythos Group will promptly notify the Client.
  • Quotes may be exceeded by up to 10% where costs specific to the Client’s order change, including materials, moulds, shipping, or requested additions.
  • The Client acknowledges and accepts this as a reasonable budget tolerance.


Pricing, Delivery and Payment Terms 

  • All quoted prices are inclusive of tax, shipping, and transport unless otherwise stated.
  • Mythos Group reserves the right to pass on any cost increases occurring after the Client has confirmed an order.
  • Goods may be dispatched either directly from Mythos Group or from a third-party supplier or manufacturer.
  • Payment is accepted by bank transfer or credit card, with a processing surcharge applying to credit card payments and shown on the invoice.


Order Changes 

  • Once an order is confirmed, any changes must be agreed to in writing.
  • Changes may affect pricing and delivery timelines, and any additional costs or savings will be passed on to the Client.
  • Where design, colour, or mould adjustments are required based on Mythos Group’s expertise, the Client will be notified and provided with a clear explanation before any changes are made.


Use of Third Parties

Mythos Group may engage third-party suppliers or manufacturers as necessary to fulfil an order. Any associated costs will be passed on to the Client where applicable.

 



Payment Terms and Late Payments

  • Payment is due by the invoice date, or within 30 days of the invoice date if no due date is specified.
  • Partial invoicing is permitted unless otherwise agreed in writing between the parties.
  • Mythos Group may require a bank guarantee before commencing production.
  • Overdue amounts shall automatically accrue interest from the due date at a rate of 2% per month (approximately 26.8% per annum, calculated and compounded monthly), being the prevailing Bank of Canada overnight rate plus a reasonable margin, and in any event capped at the maximum rate permitted under section 347 of the Criminal Code (Canada), without the need for formal demand.
  • All costs incurred in recovering overdue amounts, including legal fees, shall be payable by the Client.


Suspension and Cancellation

  • Mythos Group may suspend or cancel an order if the Client fails to make payment or provide the required security. Suspension shall not affect the Client’s outstanding payment obligations.
  • Delivery dates are estimates only. Mythos Group shall not be liable for any delay in delivery, and the Client shall not be entitled to cancel an order or withhold payment due to late delivery.
  • Delays caused by changes requested by the Client, or by third-party supply issues outside Mythos Group’s control, shall result in a proportionate extension of the delivery timeline.


Our Duty of Care

Mythos Group will act in the Client’s best interests throughout each project, exercising reasonable skill, care, and professionalism at all times.

 



Third-Party Claims

  • Mythos Group’s liability for work carried out by third parties is limited to the extent covered by that third party. Mythos Group will assist the Client in pursuing any third-party claims.
  • The Client indemnifies Mythos Group against any claims brought by third parties arising from products or services delivered at the Client’s request.


Liability and Indemnification

  • Where a valid complaint is upheld, Mythos Group will choose to either replace the product or refund the invoice value of the affected goods. No further compensation shall be due.
  • Mythos Group’s liability for direct loss is capped at the fee paid for the relevant goods or services, net of out-of-pocket costs.
  • Mythos Group shall not be liable for any indirect, consequential, or incidental loss of any kind.

IMPORTANT — Product Safety and Use

The Client acknowledges that custom stress balls and related promotional products are used at its own risk, including by the Client’s employees, customers, or promotional recipients. Mythos Group, its staff, agents, and affiliates shall not be liable for any personal injury, choking hazard, allergic or sensitivity reaction, bodily harm, or property damage arising from the use, misuse, or ingestion of any product supplied.

Products are manufactured as promotional items and are not designed, tested, or certified as children’s toys unless expressly stated in the Order Confirmation. Where the Client intends to distribute products to consumers, including children, the Client is solely responsible for confirming the intended end use complies with applicable product safety standards, including the requirements of the Canada Consumer Product Safety Act, and for providing any required age or hazard warnings. To the fullest extent permitted under the Sale of Goods Act (British Columbia), all conditions and warranties implied by statute are excluded, and no warranties are given beyond those stated in the quote, whether express or implied, including any implied warranty of fitness for a particular purpose.

The Client will defend and hold Mythos Group harmless from any claim, loss, or legal costs arising from: (i) injury or property damage connected to the Client’s use or distribution of Mythos Group products; (ii) intellectual property infringement arising from any materials provided by the Client; or (iii) any defective product or service supplied by the Client to its own customers.



Acceptable Use 

Mythos Group products may only be used for lawful purposes. The Client is solely responsible for ensuring that their use of the products complies with all applicable laws. Mythos Group assumes all Clients act with lawful intent and accepts no liability for unlawful conduct by the Client.



Events Beyond Our Control 

Mythos Group shall not be liable for any failure or delay caused by circumstances beyond its reasonable control, including but not limited to fire, supply chain disruption, transport failure, war, civil unrest, epidemic, natural disaster, government action, or import restrictions. In such circumstances, Mythos Group may suspend or cancel the order without liability.

 



Resale of Products

  • The Client may resell Mythos Group products provided that its customers are informed that Mythos Group disclaims all warranties and accepts no liability of any kind.
  • The Client is solely responsible for its customers’ orders, delivery, and support. Mythos Group may display completed work and retain samples for portfolio and marketing purposes.


Intellectual Property 

  • The Client confirms it holds all necessary intellectual property rights when submitting designs, logos, or materials for production and indemnifies Mythos Group against any third-party intellectual property claims.
  • IP in the deliverables transfers to the Client once all outstanding amounts, including any development, mould, or licensing fees, have been paid in full.
  • The Client must notify Mythos Group in writing within 48 hours of receiving any third-party intellectual property claim and cooperate fully in any defence or settlement.


Assignment of Rights 

  • Neither party may transfer its rights or obligations under this Agreement to a third party without the other’s prior written consent.
  • If the Client’s business is restructured, acquired, or merged, the original and successor entities are jointly and severally liable for all obligations.


Governing Law and Dispute Resolution

This Agreement is governed exclusively by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. All disputes arising from or in connection with this Agreement, including questions of its formation, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of British Columbia, to which both parties irrevocably submit. Neither party may commence proceedings in any other jurisdiction.
